Join Aprio's M&A Team and you will help support our corporate M&A activity and the development of our long-term strategy. Aprio is a progressive, fast-growing firm looking for an Associate of Corporate Development to join their dynamic team and lead our internal financial due diligence efforts in support of Aprio's M&A strategy which entails merging / acquiring accounting and tax firms, other professional advisory firms and/or technology companies throughout the United States.

Position Responsibilities

  • Plan, execute, direct and complete financial/accounting due diligence on M&A opportunities for Aprio. The target companies could be traditional accounting and tax firms, other professional advisory services companies and/or technology companies.
  • Partner with firm leaders before, during and after the M&A processes, to ensure the deals make strategic sense, fit with the forward-looking business plans, and are integrated smoothly and fully optimized.
  • Compiling and analyzing historical financial data/financial statements and metrics provided by target firm as well as conducting interviews with target company executives.
  • Commenting on the quality of the client or selling company earnings (Quality of Earnings/normalized EBITDA) by highlighting significant business profitability trends and changes in accounting policies.
  • Collaborate with cross-functional teams (HR, legal, operational and IT) at Aprio and with target firm executives.
  • Demonstrate deep understanding of strategy and M&A and strong business and financial acumen.
  • Manage the financial due diligence and coordinate with M&A team on data gathering process for acquisitions and investments.
  • Prepare internal presentations and documents for proposed transactions to communicate information to the Firms CEO, COO, CFO and Board of Directors and ask for governance approvals.
  • Prepare other analyses on an ad-hoc basis.
  • Design and implement processes and tools to make the team more efficient. Lead other initiatives that support and advance the objectives of the team (e.g., tracking the deal pipeline).
  • Strong current knowledge in US GAAP, GAAS, transaction advisory services or mergers and acquisitions.

Qualifications Needed

  • Bachelors degree in Accounting, Finance, Economics or Business
  • 2+ years of related experience (e.g. Corporate Development, Transaction Advisory, Investment Banking, Consulting).
  • Strong level of proficiency in the use of Microsoft Excel (financial modeling experience required), Word, and PowerPoint.
  • Strong written and verbal communication and presentation skills.
  • Demonstrated poise working with executive level stakeholders.
  • Ability to work effectively within a non-structured environment.
  • You thrive on working on multiple projects at once, and seek out cross-functional engagement.
  • You take initiative when you see work that needs to be done, and you don't expect active management. You are accountable for and take ownership of your work.
  • Excellent presentation skills, including strong oral and writing capabilities; ability to clearly communicate compelling messages to Firms CEO, COO, CFO and Board of Directors.
  • Ability to operate independently to navigate tight deadlines, juggle a long list of competing priorities, and operate in a dynamic environment without compromising sharp attention to detail
  • Prior experience with a national or regional CPA firm is a plus.
