Job Description

The Job

As a member of the CapitaLand Development in-house legal team, you will be working on several complex transactions involving real estate acquisitions, development and divestments. This would involve structuring based on legal requirements and to achieve tax efficiency, M&A transactions, joint ventures, and general advisory work. Our in-house counsels provide legal expertise and a seamless integrated service across our offices in Singapore and other countries (e.g. China, US, Korea, Indonesia, Malaysia, Vietnam, Japan, Australia). You will counsel and strategically collaborate with our business partners in Singapore and overseas to minimize risk, creatively solve problems, contribute to cost-saving initiatives and resolve disputes, while achieving the company’s business goals.

Responsibilities

Your key responsibilities will include the following:

  • Provide legal support and advice to the various departments and business units of the company, including country operations, finance, sales, human resources, and the project design, development and construction teams, on all real estate, development and construction-related legal matters.
  • Negotiate, draft and review a wide range of real estate agreements, purchase and sale agreements, leases, employment contracts, financing and mortgage/security agreements, vendor agreements, service agreements, NDAs, and more.
  • Negotiate and minimize risk in joint venture agreements with partners.
  • Assist in the creation of processes for managing legal issues from all business areas and help provide training, create templates, and manage workflows to allow business units to move quickly while addressing key risks.
  • Work with external counsel as necessary on litigation, disputes, and other matters.
  • Manage external counsel on transactions to ensure high quality, commercially focused, and cost-effective legal advice.
  • Report directly to the Head of Legal, and work with senior executives to design efficient and effective general controls.
  • Assist in the drafting of policies, guidelines, legal templates and other documents to ensure best practices.
  • Assist in corporate secretarial matters.

Qualifications

  • Minimally, you should hold a Bachelor’s degree in Law and have at least 5 years PQE in a law firm or as an in-house counsel with a corporate real estate focus.
  • Good academic history and proven legal skills, combined with a strong reputation for providing commercial solutions, excellent transactional and management skills.
  • Strong background in general corporate work, probably gained from practice in a law firm or as an in-house counsel.
  • Able to work confidently with our stakeholders, as well as create workable bespoke solutions to facilitate our stakeholders’ objectives.
  • Experienced in advising on complex international transactions and in organising and managing transactions, including cross border transactions.
  • Excellent document drafting skills, strong communication and analytical skills along with a high level of commercial awareness.
  • You must be able to thrive in a team with high professional standards and have a flexible client-friendly commercial approach.
  • Exceptional judgment and ability to act decisively in situations requiring quick but thorough analysis and decision-making while understanding when and how to escalate issues appropriately.
