Location: Clearway's Head Office โ€“ Maple, ON

Hours of Operation: Monday through Friday, 8:00 am to 5:00 pm (EST)

The Paralegal supports and manages Clearwayโ€™s day-to-day legal needs around contract drafting, corporate governance and other relevant activities, working in conjunction with outside legal counsel as required. This role requires a strong understanding contract and corporate law, strong drafting skills and experience supporting corporate governance (specifically articles of incorporation, drafting of Board resolutions and maintenance of minute books). This role will appeal to a candidate that is detail-oriented with an interest in the construction industry.

Essential Duties & Responsibilities:

Contract Drafting:

  • Draft and review a variety of legal documents, including contracts, service agreements, confidentiality and non-disclosure agreements for review by outside counsel as required.
  • Maintain an organized system for tracking and managing contracts, templates and other relevant documents.
  • Review and ensure that new and existing contract templates comply with local laws, regulations and Company policies.
  • In collaboration with outside legal counsel, develop, modify and evaluate template contracts and other tools to standardize and simplify the contract drafting and development process.
  • Develop and deliver training for business units on contract-related policies, procedures, templates, tools and systems and provides guidance and advice as required.

Corporate Governance:

  • Assist in corporate governance activities, including preparation of Board materials, minutes, resolutions and other corporate documents.
  • Partner closely with outside counsel to draft, review and update articles of incorporation and other relevant documents. Manages registrations, due diligence, searches and corporate filings as required.
  • Support reviews and development of Corporate policies and procedures, where appropriate, to effectively manage risk.
  • Assist with corporate secretarial functions, such as maintaining corporate records and filings.
  • Conduct focused legal research related to changes in laws and regulations impacting the business and provide relevant updates to the senior management team.
  • Undertake special projects such as annual required corporate filings and reports, such as annual ESG-related filings, working with relevant internal stakeholders as required.

Other Related Duties

  • Acts as a key point of contact between the Companyโ€™s management team and outside counsel in support of corporate transactions, including acquisitions, divestitures, asset sales or other transactions.
  • Reviews proposal and bid submissions prior to release to ensure accuracy of claims and information contained
  • Provide support and assistance in preparing correspondence and assisting in creating legal materials.
  • Manage small claims court filings, disputes of tickets and other minor civil actions, including review.
  • Follow-up wit outside legal counsel on current active litigation and other matters.

Requirements:

  • Licensed paralegal (P1) by the Law Society of Ontario.

  • 5+ years of work experience as a paralegal or law clerk in both a law firm environment and an in-house, corporate setting, preferably within the construction industry.

  • Prior experience drafting and maintaining resolutions, minutes and other Board-related meeting materials.

  • Demonstrated experience in contract management, including drafting and/or evaluating templates, proposals and amendments.

  • Strong knowledge of contract law, corporate law and regulatory compliance.

  • Excellent legal drafting skills

  • Proficiency in legal research

  • Demonstrated ability to act independently while exercising sound professional judgement.

  • A solution-oriented approach with a bias for action.
