Scope of Role

We are looking for a proactive and analytical Corporate Development / M&A Analyst to join the team at ITRS. Reporting to our Global Head of Corporate Development & FP&A, you will play a crucial role in supporting our strategic growth initiatives by identifying, evaluating, and executing corporate development opportunities, including mergers and acquisitions, partnerships, and strategic investments.

Your role will involve working with the closely executive leadership team, our private equity sponsors and cross-functional teams across the business to drive the company’s long-term strategic objectives.

As a Corporate Development Analyst, you will:

Market and Target Analysis:

  • Collect market and company data via third-party databases and primary research sources to identify industry trends, competitive dynamics and potential acquisition opportunities
  • Maintain a comprehensive pipeline of potential targets and strategic partners
  • Support the organisation in identification of potential opportunities in line with the M&A Strategy
  • Appraising M&A opportunities and providing analysis to the executive leadership team and private equity sponsors

Strategic Planning:

  • Analyse competitor strategies and market positioning to inform strategic planning
  • Collaborate closely with wider business (product and engineering teams) to identify product gaps
  • Prepare presentations and studies on researched markets/sectors/companies

Financial Analysis and Modelling:

  • Build, review and present detailed financial models to assess the financial performance and valuation of potential M&A targets
  • Prepare detailed financial reports and strategic recommendations for senior management

Deal Execution:

  • Participate in all phases of the transaction such as LOI, IM reviews, due diligence, structuring, negotiation, legal documentation, integration planning, etc.
  • Help conduct financial due diligence to evaluate investment opportunities
  • Coordinate with and manage external due diligence providers, legal and other advisors
  • Develop and manage the transaction data room
  • Help prepare investment cases for Executive Committees and Board for investment approvals

You will have:

  • 2 + years experience in managing the delivery of deal processes
  • Attained ACA / CA or CFA (or equivalent) qualifications
  • Strong academic background with a degree from a leading university
  • Advanced Microsoft Excel skills. Can build complex financial and valuation models, enable scenario analysis and dynamically link.
  • Proficient Microsoft PowerPoint and Word skills
  • Ability to produce well-formatted, board-quality outputs.
  • Experience working with/for technology or software businesses

You would benefit from having the following:

  • Prior experience working in a deal environment - either in a corporate M&A function, M&A Lead Advisory or Transaction Services team within a Big 4 / top-tier accounting firm or investment bank or, private equity or venture capital firm
